Saascom Terms of Service

These Terms of Service ("Terms") govern your access to and use of the online services provided by Saascom, a product of VALLEYCOM SARL, including the Saascom web platform and mobile applications (iOS and Android). By accessing, registering, or using any part of the Saascom ecosystem, you agree to comply with and be bound by these Terms.
Introduction
At VALLEYCOM SARL, we are committed to safeguarding the privacy and personal data of the businesses and customers who use our digital solutions. Founded in Algeria, VALLEYCOM SARL is a communication and technology company specializing in tailor-made digital transformation solutions for businesses of all sizes. Our services include website creation, mobile application development, and enterprise consulting, with a strong focus on delivering functional, scalable, and secure digital platforms.
In this spirit of innovation, VALLEYCOM has launched Saascom — a robust and user-friendly e-commerce software-as-a-service (SaaS) platform designed to help entrepreneurs, retailers, and wholesalers create and manage their own online stores. Saascom includes both a customizable web store and native mobile applications (Android and iOS), tailored to meet the growing demands of the digital commerce market in Algeria and beyond.
Saascom empowers merchants to digitize their inventory, control pricing (including multi-tier strategies), manage orders, and integrate with local ERP systems such as DelfiV, W-Manager, Inabex, and Gfox. It also supports multi-language functionality, customer account systems, live notifications, and real-time analytics dashboards — making it an ideal solution for digital-first retail.
As part of our operational commitment, we collect and process certain data from our users and their customers in order to provide these services effectively. This data may include business registration details, transactional records, and customer interaction metrics. We understand that privacy is essential for trust and compliance, particularly in the digital economy, and that is why we process all data in strict accordance with applicable privacy laws, including the General Data Protection Regulation (GDPR) and Algerian national data protection standards.
This Privacy Policy outlines in detail what personal and business data we collect, how we use it, the conditions under which we may share it, and how we keep it secure. It also informs you about your legal rights and how to exercise them in the context of your relationship with Saascom.

1. Account Terms
1.1 Eligibility To access and use the Saascom platform, you must be legally competent and mentally sound to enter into binding agreements on behalf of a business entity.
1.2 Business Registration Saascom is a B2B service. Users must provide verifiable business information, including legal business name, address, registration number (RC), tax ID (NIF), and other identifiers.
1.3 Account Security You are responsible for maintaining the confidentiality of your login credentials. Any activity under your account will be presumed to have been performed by you.
1.4 Authorized Use You agree to use Saascom in compliance with all applicable laws and regulations and not to use the service for any illegal or unauthorized purposes or against Islamic religion.
2. Account Activation
2.1 Trial Access Saascom may provide limited trial access. Continued use after the trial requires a paid subscription corresponding to your selected service tier.
2.2 Subscription Activation Subscription plans include features based on the pricing model selected (e.g., fixed-price or multi-tier pricing). Activation is effective upon receipt of payment confirmation.
2.3 iOS Development Development and publication of an iOS version of the app are handled upon request and may require separate quotation and approval by Apple.
3. Saascom Rights
3.1 Platform Maintenance and Updates Saascom reserves the right to modify or discontinue features of its platform for improvements or legal compliance, with or without notice, depending on the impact of the change.
3.2 Suspension of Service Accounts may be suspended or terminated at Saascom’s discretion for violations of these Terms, non-payment, or behavior deemed harmful to the platform or other users.
3.3 Monitoring for Compliance Saascom may monitor your use of the platform to ensure compliance with these Terms, including reviewing content for prohibited or infringing material.
4. Your Responsibilities
4.1 Content Ownership You are solely responsible for any content you upload, including product images, descriptions, and pricing, and warrant that you have legal rights to such content.
The delivered service (website or application) is provided in an initialized state without a product catalog; the addition and configuration of items is solely the client's responsibility.
4.2 Data Privacy Compliance You are responsible for complying with all data protection laws applicable to your business, including GDPR, in managing your customers' data.
4.3 ERP Synchronization Custom integration with ERP systems (e.g., DelfiV, Djawahir, W-manager) must be tested and validated by you prior to deployment. Custom integration may require a separate agreement.
5. Payments and Fees
5.1 Payment Schedule Standard payment terms for application development include 50% upfront and 50% upon delivery (7 days post-publication). Website subscriptions are annual.
The second payment shall be made within twelve (12) days after the delivery of the application.
5.2 Late Payment Failure to pay may result in project delays or suspension. Reinstatement fees may apply.
5.3 Taxes You are responsible for all applicable taxes, including VAT, based on Algerian and international tax laws.
6. Confidentiality
6.1 Protection of Confidential Information Saascom will not disclose or share your project or business information with third parties without your written consent.
6.2 NDA Application All technical and commercial exchanges during project development are confidential and governed by Algerian law on business secrecy.
7. Limitation of Liability
7.1 Service Availability Saascom provides services on an “as-is” basis and does not guarantee uninterrupted access. Temporary
downtime may occur for maintenance or due to external causes.
7.2 Indemnity You agree to indemnify and hold Saascom harmless from any legal claims, losses, or damages arising from your use of the platform or breach of these Terms.
8. Intellectual Property
8.1 Saascom Property All source code, system architecture, and platform infrastructure are the exclusive property of VALLEYCOM SARL and are not transferred upon service provision.
8.2 Client Content License You grant Saascom a non-exclusive license to use your uploaded content (products, logos, images) solely for platform operations.
9. Additional Services
9.1 Mobile Application Development Development includes Android APK and optional iOS TestFlight files for testing. A 7-day review period is provided for feedback before publication.
9.2 Custom Integrations Advanced integrations and unique feature requests may be subject to additional development timelines and costs.
10. Feedback and Reviews
10.1 Suggestions You agree that Saascom may freely use any feedback or suggestions you submit to improve the service without compensation.
10.2 Reviews Saascom reserves the right to moderate or remove user reviews deemed inappropriate, misleading, or in violation of these Terms.
11. DMCA and Copyright
11.1 Copyright Infringement If you believe your copyright is being infringed, you may submit a DMCA-compliant notice to Saascom. Verified claims will result in removal of the infringing content.
12. Privacy and Data Security
12.1 Security Standards Saascom employs encryption, server security, limited-access rights, and routine backups to protect your and your customers’ data.
Data backups are performed automatically every 24 hours. Saascom shall not be held liable for any data loss that occurs between two backup cycles.
12.2 Client Obligations You must inform and obtain consent from your clients for any data collected through your store, in compliance with applicable regulations.
12.3 Use of Data for Marketing Purposes Saascom may use certain anonymized or aggregated information provided by users and their customers, strictly for internal analysis and marketing strategy development. This data is never shared or sold to competitors or external third parties under any circumstances.
Furthermore, individual user or customer data may be used to improve user experience, develop new features, and offer relevant promotions, only with appropriate legal basis such as user consent or legitimate interest, as defined under applicable data protection regulations.
Saascom ensures all marketing-related processing respects the principles of confidentiality, integrity, and transparency. All data remains securely stored and processed within systems accessible only to authorized personnel.
13. Legal Information

13.2 Jurisdiction All legal matters are governed by the laws of Algeria. Any dispute shall be submitted to the competent courts of Algiers.
14. Termination
14.1 By the Client You may terminate your account at any time. Saascom is not responsible for recovering deleted content once termination is processed.
14.2 By Saascom We may terminate your service immediately for breach of terms, non-payment, or unlawful use of the platform.
15. Modifications
15.1 Right to Modify Saascom reserves the right to update these Terms at any time. Changes will be communicated via your registered email or account dashboard.
15.2 Continued Use as Acceptance By continuing to use the platform after the date changes become effective, you accept the revised Terms.
The renewal of the annual subscription will be notified to the client in writing one (1) month before its expiration date.
15.3 Availability of Previous Versions Archived versions of previous Terms can be provided upon request for legal or audit purposes.
16. General Conditions
16.1 Entire Agreement These Terms constitute the entire agreement between you and Saascom and supersede all prior agreements.
16.2 Force Majeure Saascom shall not be held liable for failure or delay in performance due to causes beyond its control (e.g., natural disasters, government actions).
16.3 Severability If any provision of these Terms is held invalid, the remaining provisions shall remain in full force and effect.
16.4 Assignment You may not assign your rights without Saascom’s prior written consent. Saascom may assign its obligations without restriction.
16.5 Language This document is governed by its English version. Any translation is provided for convenience only.

شروط الحساب 1.1 الأهلية لاستخدام منصة ساس كوم، يجب أن تكون مؤهلاً قانونيًا وعقليًا للدخول في اتفاقيات ملزمة نيابةً عن كيان تجاري. 1.2 تسجيل الأعمال ساس كوم هي خدمة موجهة للأعمال (B2B). يجب على المستخدمين تقديم معلومات تجارية قابلة للتحقق، بما في ذلك الاسم القانوني للنشاط، العنوان، رقم التسجيل التجاري (RC)، رقم التعريف الضريبي (NIF)، وغيرها من المعرفات. 1.3 أمان الحساب أنت مسؤول عن الحفاظ على سرية بيانات تسجيل الدخول الخاصة بك. سيتم افتراض أن أي نشاط يتم تحت حسابك قد تم من قبلك. 1.4 الاستخدام المصرح به توافق على استخدام ساس كوم بما يتوافق مع جميع القوانين واللوائح المعمول بها، وعدم استخدام الخدمة لأي أغراض غير قانونية أو غير مصرح بها أو تتعارض مع تعاليم الدين الإسلامي.
تفعيل الحساب 2.1 الوصول التجريبي قد توفر ساس كوم وصولًا تجريبيًا محدودًا. يتطلب الاستمرار في الاستخدام بعد الفترة التجريبية اشتراكًا مدفوعًا يتوافق مع مستوى الخدمة المختار. 2.2 تفعيل الاشتراك تتضمن خطط الاشتراك ميزات بناءً على نموذج التسعير المختار (مثل السعر الثابت أو التسعير متعدد المستويات). يصبح التفعيل ساريًا عند استلام تأكيد الدفع. 2.3 تطوير iOS يتم التعامل مع تطوير ونشر نسخة iOS من التطبيق عند الطلب وقد يتطلب عرض أسعار منفصل وموافقة من Apple. saascom.shop
حقوق ساس كوم 3.1 صيانة وتحديثات المنصة تحتفظ ساس كوم بالحق في تعديل أو إيقاف ميزات منصتها للتحسينات أو الامتثال القانوني، مع أو بدون إشعار، اعتمادًا على تأثير التغيير. 3.2 تعليق الخدمة قد يتم تعليق أو إنهاء الحسابات حسب تقدير ساس كوم لانتهاكات هذه الشروط، أو عدم الدفع، أو السلوك الذي يُعتبر ضارًا بالمنصة أو المستخدمين الآخرين. 3.3 المراقبة للامتثال قد تراقب ساس كوم استخدامك للمنصة لضمان الامتثال لهذه الشروط، بما في ذلك مراجعة المحتوى المحظور أو المخالف.
مسؤولياتك 4.1 ملكية المحتوى أنت وحدك المسؤول عن أي محتوى تقوم بتحميله، بما في ذلك صور المنتجات، الأوصاف، والأسعار، وتضمن أن لديك الحقوق القانونية لهذا المحتوى.
يتم تسليم الخدمة (موقع إلكتروني أو تطبيق) بحالة أولية دون كتالوج للمنتجات؛ تقع مسؤولية إدراج وتكوين المنتجات على عاتق العميل بالكامل. 4.2 الامتثال لخصوصية البيانات أنت مسؤول عن الامتثال لجميع قوانين حماية البيانات المعمول بها على نشاطك التجاري، بما في ذلك اللائحة العامة لحماية البيانات (GDPR)، في إدارة بيانات عملائك. 4.3 تزامن نظام تخطيط موارد المؤسسات (ERP) يجب اختبار وتأكيد تكامل مخصص مع أنظمة ERP (مثل DelfiV، Djawahir، W-manager) من قبلك قبل النشر. قد يتطلب التكامل المخصص اتفاقية منفصلة.
المدفوعات والرسوم 5.1 جدول الدفع تشمل شروط الدفع القياسية لتطوير التطبيقات 50٪ مقدمًا و50٪ عند التسليم (بعد 7 أيام من النشر). اشتراكات المواقع الإلكترونية سنوية.
يجب تنفيذ الدفعة الثانية في غضون 12 يومًا بعد تسليم التطبيق. 5.2 التأخير في الدفع قد يؤدي الفشل في الدفع إلى تأخيرات في المشروع أو تعليق الخدمة. قد تنطبق رسوم إعادة التفعيل. 5.3 الضرائب أنت مسؤول عن جميع الضرائب المعمول بها، بما في ذلك ضريبة القيمة المضافة، بناءً على القوانين الضريبية الجزائرية والدولية.
السرية 6.1 حماية المعلومات السرية لن تكشف ساس كوم أو تشارك معلومات مشروعك أو نشاطك التجاري مع أطراف ثالثة دون موافقتك الخطية. 6.2 تطبيق اتفاقية عدم الإفشاء (NDA) جميع التبادلات الفنية والتجارية أثناء تطوير المشروع سرية وتحكمها القوانين الجزائرية المتعلقة بسرية الأعمال.
تحديد المسؤولية 7.1 توفر الخدمة تقدم ساس كوم خدماتها على أساس "كما هي" ولا تضمن الوصول المستمر. قد تحدث فترات توقف مؤقتة للصيانة أو لأسباب خارجية. 7.2 التعويض توافق على تعويض وحماية ساس كوم من أي مطالبات قانونية أو خسائر أو أضرار تنشأ عن استخدامك للمنصة أو خرقك لهذه الشروط.
الملكية الفكرية 8.1 ملكية ساس كوم جميع الشيفرات المصدرية، والهياكل النظامية، والبنية التحتية للمنصة هي ملكية حصرية لشركة ش ذ م م فالي كوم ولا يتم نقلها عند تقديم الخدمة. 8.2 ترخيص محتوى العميل تمنح ساس كوم ترخيصًا غير حصري لاستخدام المحتوى الذي تقوم بتحميله (المنتجات، الشعارات، الصور) فقط لعمليات المنصة.
الخدمات الإضافية 9.1 تطوير تطبيقات الهاتف المحمول يشمل التطوير ملفات APK لنظام Android وملفات TestFlight الاختيارية لنظام iOS للاختبار. يتم توفير فترة مراجعة لمدة 7 أيام للتعليقات قبل النشر. 9.2 التكاملات المخصصة قد تكون التكاملات المتقدمة وطلبات الميزات الفريدة خاضعة لجداول زمنية وتكاليف تطوير إضافية.
التعليقات والمراجعات 10.1 الاقتراحات توافق على أن ساس كوم قد تستخدم بحرية أي ملاحظات أو اقتراحات تقدمها لتحسين الخدمة دون تعويض. 10.2 المراجعات تحتفظ ساس كوم بالحق في تعديل أو إزالة مراجعات المستخدمين التي تعتبر غير مناسبة أو مضللة أو تنتهك هذه الشروط.
قانون الألفية للحقوق الرقمية (DMCA) وحقوق النشر 11.1 انتهاك حقوق النشر إذا كنت تعتقد أن حقوق النشر الخاصة بك قد تم انتهاكها، يمكنك تقديم إشعار متوافق مع DMCA إلى ساس كوم. ستؤدي المطالبات التي تم التحقق منها إلى إزالة المحتوى المخالف.
الخصوصية وأمان البيانات 12.1 معايير الأمان تستخدم ساس كوم التشفير، وأمان الخوادم، وحقوق الوصول المحدودة، والنسخ الاحتياطية الروتينية لحماية بياناتك وبيانات عملائك.
يتم إجراء نسخ احتياطي تلقائي للبيانات كل 24 ساعة. لا تتحمل ساس كوم مسؤولية أي فقدان للبيانات يحدث بين دورتين من النسخ الاحتياطي. 12.2 التزامات العميل يجب عليك إبلاغ عملائك والحصول على موافقتهم على أي بيانات يتم جمعها من خلال متجرك، بما يتوافق مع اللوائح المعمول بها. 12.3 استخدام البيانات لأغراض التسويق قد تستخدم ساس كوم بعض المعلومات المجهولة أو المجمعة المقدمة من المستخدمين وعملائهم، فقط للتحليل الداخلي وتطوير استراتيجيات التسويق. لا يتم مشاركة هذه البيانات أو بيعها للمنافسين أو لأطراف ثالثة خارجية تحت أي ظرف من الظروف. علاوة على ذلك، قد يتم استخدام بيانات المستخدم أو العميل الفردية لتحسين تجربة المستخدم، وتطوير ميزات جديدة، وتقديم عروض ترويجية ذات صلة، فقط مع الأساس القانوني المناسب مثل موافقة المستخدم أو المصلحة المشروعة، كما هو محدد بموجب لوائح حماية البيانات المعمول بها. تضمن ساس كوم أن جميع المعالجات المتعلقة بالتسويق تحترم مبادئ السرية والنزاهة والشفافية. تظل جميع البيانات مخزنة ومعالجة بأمان داخل أنظمة يمكن الوصول إليها فقط من قبل الموظفين المصرح لهم.

الإنهاء 14.1 من قبل العميل يحق لك إنهاء حسابك في أي وقت. ساس كوم ليست مسؤولة عن استرجاع أو استعادة أي محتوى تم حذفه بعد تنفيذ الإنهاء. 14.2 من قبل ساس كوم يجوز لنا إنهاء خدمتك على الفور في حال: • خرقك لأي من هذه الشروط • عدم سداد المستحقات • استخدام المنصة بشكل غير قانوني أو ضار
التعديلات على الشروط 15.1 الحق في التعديل تحتفظ ساس كوم بالحق في تحديث شروط الاستخدام في أي وقت. سيتم إعلامك بالتغييرات عبر بريدك الإلكتروني المسجل أو من خلال لوحة تحكم حسابك. 15.2 استمرار الاستخدام كقبول باستمرارك في استخدام المنصة بعد تاريخ سريان التعديلات، فإنك تعتبر موافقًا على الشروط المعدلة تلقائيًا.
سيتم إعلام العميل بتجديد الاشتراك السنوي قبل شهر واحد من تاريخ انتهائه من خلال إشعار كتابي. 15.3 توفر النسخ السابقة يمكنك طلب الحصول على نسخة من الشروط السابقة لأغراض قانونية أو تدقيقية متى شئت.
الشروط العامة 16.1 الاتفاق الكامل تمثل هذه الشروط الاتفاق الكامل بينك وبين ساس كوم، وتلغي جميع الاتفاقيات السابقة الشفوية أو المكتوبة المتعلقة بالخدمة. 16.2 القوة القاهرة ساس كوم غير مسؤولة عن أي إخفاق أو تأخير في تنفيذ الخدمات إذا كان ذلك نتيجة لأحداث خارجة عن إرادتها مثل: • الكوارث الطبيعية • الحروب • القرارات الحكومية • انقطاع في خدمات الإنترنت أو الطاقة 16.3 قابلية الفصل إذا اعتُبر أي بند من هذه الشروط غير صالح قانونًا، فإن بقية البنود تظل سارية المفعول. 16.4 عدم جواز التنازل لا يحق لك تحويل أو التنازل عن حقوقك بموجب هذه الاتفاقية دون إذن كتابي مسبق من ساس كوم. يحق لـ ساس كوم تحويل أو تفويض التزاماتها دون قيود. 16.5 اللغة يخضع هذا المستند للنسخة الأصلية باللغة الإنجليزية. تُقدَّم الترجمة العربية لتسهيل الفهم فقط، ولا يُعتد بها قانونيًا في حال وجود تعارض.
